Terms & Conditions
These terms govern your use of Quantura. They are written to be readable: what you can expect from us, what we expect from you, and where our responsibility ends. By creating an account you accept them.
1. The agreement
This agreement is between Quantura and the business or person creating the account. If you are signing up for an employer or client, you confirm you are authorised to accept these terms on their behalf.
2. Your account
- Give accurate signup and GSTIN details and keep them current.
- You are responsible for everything done under your login and by users you invite.
- Keep credentials confidential and tell us promptly about any suspected misuse.
- One account per business. Do not resell or share access outside your organisation without our written consent.
3. Your data stays yours
You own the records you enter. We claim no ownership over your invoices, parties, products or ledgers. We process them only to operate the service for you, as described in our Privacy Policy, and you can export them at any time.
You confirm you have the right to upload the data you put in, including customer and supplier contact details.
4. Plans, payments and refunds
- The free plan is limited as described on the pricing page and may change with notice.
- Paid plans are billed in advance for the chosen period and renew automatically until cancelled.
- Prices are exclusive of GST unless stated otherwise; applicable taxes are added at invoicing.
- Cancel at any time - access continues to the end of the paid period. Part-used periods are not refundable except where the law requires it or where we failed to deliver the service.
- If a payment fails, we may suspend paid features after notifying you and allowing a reasonable window to fix it.
5. Acceptable use
- Do not use Quantura for fraudulent invoicing, tax evasion, money laundering or any unlawful purpose.
- Do not attempt to breach, probe or overload our systems, or access another account's data.
- Do not copy, reverse engineer or resell the software, or scrape the service by automated means without consent.
- Do not upload malware, or content that infringes someone else's rights.
We may suspend or terminate an account that breaches this section, immediately where the breach is serious or ongoing.
6. Accuracy, GST and professional advice
Quantura helps you produce GST-compliant documents and summaries from the data you enter. It is a tool, not a chartered accountant. Tax rates, HSN codes, party details and classifications are your inputs and your responsibility to verify.
We do not provide tax, legal or accounting advice, and we are not responsible for filings, notices, interest, penalties or disallowances arising from the data you enter, from decisions you take using our outputs, or from changes in tax law. Have your CA review your returns before filing.
7. Tally sync and third-party services
The Tally bridge and any other integration depends on software and systems we do not control, including Tally itself, your network and your CA's setup. We work to keep the bridge reliable but cannot guarantee compatibility with every version or configuration, and we are not liable for changes third parties make to their software.
8. Availability and changes
We aim for high availability but do not promise uninterrupted service. Planned maintenance, updates, provider outages and events outside our control can interrupt access. We may add, modify or remove features; where a change materially reduces functionality you rely on, we will give reasonable notice.
9. Backups
We take routine backups as part of running the service. They are a disaster-recovery measure for our infrastructure, not a substitute for your own records. Export your data periodically and keep your own copies.
10. Warranties
The service is provided "as is" and "as available". To the fullest extent permitted by law, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be error-free or that it will meet every requirement of your business.
11. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill, business opportunity or data, however caused.
Our total aggregate liability arising out of or relating to this agreement is limited to the amounts you actually paid us for the service in the twelve months immediately before the event giving rise to the claim. If you are on the free plan, that amount is nil and our liability is limited to correcting or restoring the affected service.
Nothing here excludes liability that cannot lawfully be excluded.
12. Indemnity
You agree to indemnify us against third-party claims, penalties and reasonable costs arising from your use of the service in breach of these terms, from unlawful or inaccurate data you enter, or from your tax filings and dealings with your customers.
13. Ending the agreement
You can close your account at any time from the app or by writing to us. We may terminate or suspend with reasonable notice, or immediately for a serious breach, non-payment or a legal requirement. On termination your right to use the service stops; export your data first, and see the Privacy Policy for how long we retain records afterwards.
14. Governing law
These terms are governed by the laws of India, and the courts at our registered place of business have exclusive jurisdiction over any dispute. Before starting proceedings, both sides agree to attempt to resolve the matter in good faith by writing to the other.
15. Other terms
- If any clause is held unenforceable, the rest remains in force.
- Not enforcing a right on one occasion does not waive it.
- You may not assign this agreement without our consent; we may assign it as part of a merger or sale of the business.
- These terms, together with the Privacy Policy and the plan details you accepted, form the whole agreement between us.
We may update these terms; the date at the top shows the current version and we will notify account holders of material changes by email. Continuing to use Quantura after a change means you accept the updated terms.
